Terms of Service

Welcome to Alignly, an HR and people operations platform operated by Symph ("Symph", "we", "us", or "our"). By accessing or using Alignly ("Service"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully before using the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using Alignly, you confirm that you are at least 18 years old and that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

Alignly is a cloud-based HR platform that provides tools for employee directory management, onboarding workflows, leave management, document storage, org chart visualization, and related people operations features. We offer the Service on a subscription basis to organizations ("Customers") and their authorized users ("End Users").

3. Accounts and Access

3.1 Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 Authorized Users

Customers may invite employees and team members as End Users. Customers are responsible for ensuring their End Users comply with these Terms. Each individual must use their own account and must not share login credentials.

3.3 Account Security

You must notify us immediately at support@alignlyhq.com if you become aware of any unauthorized access to your account.

4. Acceptable Use

You agree not to use Alignly to:

  • Violate any applicable law, regulation, or third-party right
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other accounts
  • Scrape, harvest, or extract data from the Service without our prior written consent
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Service for any purpose that competes with Alignly

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

5. Subscription and Payments

5.1 Pricing

Alignly is offered on a per-employee, per-month subscription basis. Current pricing plans (Fixed, Flexi, Fluid) are available at alignlyhq.com. Prices are subject to change with 30 days' written notice.

5.2 Billing

Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

5.3 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities in connection with your use of the Service.

6. Data and Privacy

Your use of Alignly involves the processing of personal data about you and your employees. Our collection and use of such data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

As a Customer, you are the data controller for your employees' personal data stored in Alignly. Symph acts as a data processor on your behalf and processes that data only in accordance with your instructions and our Data Processing Agreement (available on request).

7. Intellectual Property

7.1 Our IP

Alignly and all related software, designs, trademarks, and content are the exclusive property of Symph or its licensors. These Terms do not grant you any right, title, or interest in our intellectual property.

7.2 Your Content

You retain all rights to the data and content you upload to Alignly ("Customer Data"). You grant Symph a limited license to host, store, and process your Customer Data solely to provide the Service.

8. Confidentiality

Each party agrees to keep the other's confidential information (including pricing, product roadmaps, and business data) strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.

9. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SYMPH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYMPH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL SYMPH'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU TO SYMPH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

11.1 By You

You may terminate your account at any time by contacting support@alignlyhq.com. Termination does not entitle you to a refund for any prepaid fees.

11.2 By Us

We may suspend or terminate your access to the Service at any time if you breach these Terms, fail to pay fees when due, or if we discontinue the Service, with reasonable prior notice where practicable.

11.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will retain your Customer Data for 30 days following termination, after which it will be deleted, unless we are required by law to retain it longer. You may request a data export before termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Metro Manila, Philippines.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or a prominent notice in the Service. Your continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms.
